ACME Systems Ltd is a fictional company and this website is a demonstration. The terms below are illustrative only and create no obligations on anybody.
Quotations and orders
Quotations are valid for 30 days and are an invitation to order, not an offer. A contract is formed when we acknowledge your purchase order in writing. Purchase orders should quote our quotation number. We do not accept verbal orders.
Prices
Prices are ex-works our Birmingham or Wakefield site, exclusive of VAT, packing and carriage unless the quotation says otherwise. Where a quotation is priced against a published raw-material index we reserve the right to adjust on the order date, and we will tell you before we do.
Delivery
Lead times are quoted as ranges and run from receipt of a complete order, including any technical information we have asked for. We aim to meet them and normally do. Time is not of the essence unless expressly agreed in writing, and we do not accept liquidated damages for delay as a standard term.
Payment
Net 30 days from date of invoice for account customers. New customers are pro forma for the first three orders. We charge interest on overdue accounts under the Late Payment of Commercial Debts (Interest) Act 1998.
Title and risk
Risk passes on delivery. Title is retained until we have been paid in full for the goods in question and for any other sums then due on your account.
Warranty
Twelve months from delivery, or eighteen months from date of manufacture, whichever expires first. We will repair or replace at our option. The warranty does not cover fair wear, consumable items such as seals and diaphragms, damage caused by installation outside the stated duty, or equipment that has been modified without our agreement.
Liability
Our total liability is limited to the contract value. We do not accept liability for indirect or consequential loss, including loss of profit, production or contracts. Nothing limits our liability for death or personal injury caused by negligence, for fraud, or for anything else which cannot lawfully be limited.
Returns
Standard catalogue items may be returned within 30 days, unused and in original packing, subject to a restocking charge. Items built or configured to order are not returnable.
Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions to hello@acmesystems.uk.
